2.2. Not an Investment Service
The Service Provider declares that its activities do not constitute licensed activities under Act CXXXVIII of 2007 on Investment Firms and Commodity Exchange Service Providers (Bszt.), specifically:
• Not investment advice;
• Not portfolio management;
• Not order reception and transmission;
• Not proprietary trading.
The Service Provider is not under supervisory relationship with the Hungarian National Bank (MNB) in a financial intermediary capacity, as it only provides IT and data services.
2.3. No Investment Advice
All data, analyses, signals, or indicators displayed within the Service are for general informational purposes only.
No Personalization: The Service Provider does not know and does not examine the User's financial situation, income, investment goals, risk tolerance, or financial knowledge. Accordingly, outputs generated by the Software do not constitute investment advice within the meaning of Directive 2014/65/EU (MiFID II) and Section 4(2) of the Bszt., as the element of personalized recommendation is missing.
Decision Responsibility: The User acknowledges that all investment decisions are made solely at their own risk, responsibility, and based on their own analysis. The Service Provider excludes liability for any loss or lost profit arising from business decisions attributed to the use of the Software.
III. Data Accuracy and Disclaimer
3.1. Third-Party Data
The Software displays data obtained from international market data providers, exchanges, and aggregators (hereinafter: Data Providers). The User expressly accepts that:
• The data does not originate from the Service Provider; the Service Provider transmits it unchanged (or after algorithmic processing).
• The data may be delayed (typically 15-20 minutes, or other intervals according to exchange regulations).
• The Service Provider does not verify each individual data item from the raw data streams received from Data Providers.
3.2. Risk of Incorrect Data ("Data Can Be Wrong")
Due to the technical nature of financial markets and characteristics of internet data transmission, the Service Provider does not guarantee the accuracy, completeness, timeliness, or continuity of the data.
Technical errors: "Bad ticks," API outages, or erroneous pricing information from the source may occur.
Disclaimer: In accordance with Section 6:152 of the Hungarian Civil Code – except for liability for intentional breach of contract and damage to human life, physical integrity, or health – the Service Provider excludes all liability for damages arising from incorrect, incomplete, or misleading data displayed in the Software. The User is obligated to verify data from official sources (e.g., their broker) before executing transactions.
IV. Use of the Service and Technical Requirements
4.1. Registration and Authentication
A user account is required to access the Service. The login process is handled by the Service Provider's authorized partner (Firebase Authentication). The User is obligated to maintain the confidentiality of their login credentials.
4.2. Availability (SLA)
The Service infrastructure runs on systems of an international cloud provider (Google Cloud Platform). The Service Provider strives to ensure 99.0% annual availability but does not guarantee uninterrupted operation of the Service. The User cannot claim compensation for server downtime, maintenance, or force majeure events (e.g., international internet backbone failures).
V. Pricing and Payment Terms
5.1. Subscription Fees
Certain features of the Service require payment. Fees are published on the website. Prices include VAT when the User qualifies as a consumer; for business partners, prices may also be shown net.
5.2. Payment Processing
Card payments are processed by Stripe Payments Europe, Ltd. (Ireland) as an independent financial service provider.
Security: The Service Provider's servers do not handle or store complete bank card data (PAN). Transactions occur through PCI-DSS compliant encrypted channels.
Recurring Payments: By purchasing a subscription, the User authorizes the Service Provider (and Stripe) to automatically charge the subscription fee on the renewal date using the specified payment method. The User may cancel automatic renewal at any time in their account settings.
VI. EU Consumer Rights and Withdrawal
6.1. Rules for Digital Content
This section applies to Users who qualify as consumers (natural persons acting outside their profession), in accordance with Government Decree 373/2021 (VI. 30.) and Directive (EU) 2019/770.
6.2. Loss of Right of Withdrawal
Pursuant to Section 29(1)(m) of Government Decree 45/2014 (II. 26.), the consumer cannot exercise the 14-day right of withdrawal without stating reasons for digital content not supplied on a tangible medium (such as access to Metis One software), if:
• The Service Provider commenced performance with the consumer's express prior consent; and
• The consumer simultaneously declared awareness that they lose their right of withdrawal upon commencement of performance.
By registering and making payment, the User expressly requests immediate commencement of the Service and acknowledges the loss of the right of withdrawal.
6.3. Defective Performance for Digital Services
If the Service does not conform to contractual conditions (e.g., the software does not start), the User is entitled to warranty rights under Government Decree 373/2021 (repair, price reduction, contract termination). Important: Data errors detailed in Section 3 do not constitute defective performance, as the nature of the Service is to display "brought data," not to authenticate it.
VII. Copyright and Data Protection
7.1. Intellectual Property
The Software's source code, graphical interface (UI), database structure, and the "Metis One" brand name are the exclusive intellectual property of Enigma Fund Management Kft. Automated extraction (scraping), reverse engineering, or commercial resale of the software content is prohibited without the written permission of the Service Provider.
7.2. Data Protection (GDPR)
Personal data is processed pursuant to Regulation (EU) 2016/679 of the European Parliament and Council (GDPR).
Data Controller: Enigma Fund Management Kft.
Data Transfer: The Service Provider declares that it does not transfer the User's personal data (name, email) to financial data providers (e.g., exchange data sources). Data is only transferred to payment (Stripe) and technical (Google Cloud) partners for the purpose of service delivery.
VIII. Governing Law and Jurisdiction
8.1. Governing Law
These Terms are governed by the laws of Hungary, in particular the Civil Code (Ptk.) and Act CVIII of 2001 on electronic commerce services.
8.2. Dispute Resolution
The parties shall seek amicable resolution of disputes. In case of consumer disputes, the User may turn to the Conciliation Body competent for their place of residence or may use the European Union's Online Dispute Resolution platform (ODR platform).
These Terms are effective from January 1, 2026 and remain valid until revoked.
